Key deliverables and obligations include:

• Provision of MindManager Enterprise software licenses, including complimentary licenses for non-productive, acceptance, development, and backup environments.
• Software maintenance services for MindManager Enterprise, based on a tiered Named User license model.
• Ensuring the current software version remains compatible with a currently supported operating system version.
• Incorporating any software customizations commissioned by the client into future software deliveries and maintenance services without additional charges.
• Granting the client irrevocable, non-exclusive, geographically unlimited material usage rights for the software and documentation, with the ability to transfer these rights to affiliated group companies and to third parties for the client's or affiliated companies' purposes within service contracts.
• Allowing the client to use the software in any system environment, including a public cloud environment, without incurring additional costs.
• Adhering to comprehensive information security requirements, which involve:
• Designating a contact point for inquiries and providing substantive responses or reasoned timelines within specified business days.
• Submitting an annual status report upon request, detailing the most recent SOC 2 audit and/or pentest or risk assessment. This includes providing attestation letters for pentests/risk assessments or a SOC3 report for SOC assessments.
• Implementing encryption for "DB confidential" or "DB strictly confidential" data during transmission and storage.
• Disclosing all countries where the client's data is hosted or stored or where application systems are operated.
• Guaranteeing that data will not leave the specified storage locations, with relocations within the EU being an exception requiring written communication.
• Ensuring deletion and destruction of the client’s data upon contract termination.
• For IT/OT products, guaranteeing that delivered products are free of non-essential components and functions prior to rollout, and providing confirmation along with documentation for installation, hardening, interface protection, configuration instructions, and necessary tools.
• Providing the client with all administrative accesses and documentation for independent system commissioning and operation.
• Deactivating unneeded applications, services, accounts, functions, and unused ports upon delivery.
